Terms of Service

This is the agreement between you and SMRIT LABZ PRIVATE LIMITED (“SMRIT LABZ”), the company that operates Baila Lento, for using Baila Lento. By creating an account you accept it.

The agreements that go with these Terms

These Terms are the basic rules for the website and the app. A business that uses Baila Lento also accepts, in the app (under Industry rules, Consent forms), the Master Services Agreement, the Authority to Manage Accounts, the Data Processing Agreement, the Acceptable Use and Content Policy and the Billing, Refund and Cancellation Policy. Where one of those covers the same point, it applies to that business.

What Baila Lento does

Baila Lento prepares marketing work — written copy, images, search and listing activity — and puts it in front of you for approval. Once you approve a piece of work, it can be published to accounts you have connected.

Nothing is published without your approval. This is enforced in the system itself, not merely by the screens.

Your account

• You must be 18 or over and authorised to act for the business you register. Baila Lento is for businesses and professionals, not for personal or household use, and not for anyone under 13.
• Choose your business’s country when you register (Team & billing shows it). It decides the currency you pay in.
• Keep your sign-in details to yourself. Anything done from your account is treated as done by you.
• One account per business, unless you are on a plan that includes client workspaces.

Your content, and who owns it

What you give us stays yours. Your brand, business facts, logos, photos, briefs and anything else you upload are yours. The words we write for you (captions, plans, articles and similar text) are yours too, to use however you like, including after you leave.

Pictures and designs we create are owned by us, and you get a licence. Pictures, designs, layouts, slides, flyers and other images that Baila Lento creates for you (“generated images”) are owned by SMRIT LABZ PRIVATE LIMITED, to whatever extent the law allows ownership of them. We give you a free, perpetual, worldwide licence to use them for your own business: to post them, print them, edit them and keep using them after you leave. You may let your staff, your agency or your printer use them for you. You may not sell them, license them to another business, or use them to build a competing product. Pictures you upload and your own logo stay yours, and using them in a generated image gives us no rights in your trade marks.

Work produced before 15 October 2026 stays yours, as these terms said until then.

If you find someone copying a generated image, please tell us. We may act against them, and you agree to help us with the facts. Do not remove copyright notices or watermarks.

You grant us permission to process your content only to provide the service — generating drafts, and publishing what you approve.

What you are responsible for

Drafts are produced by AI and reviewed by an automated compliance check. That check is good, not infallible. You are the last reader before anything is published.

You agree not to use Baila Lento to publish:

• Anything false or misleading about your business, prices or services.
• Medical, health, financial or legal claims you cannot support. If you are a pharmacy, clinic or financial service, this matters more, not less.
• Anything unlawful, or anything that infringes someone else’s rights.
• Anything breaching Instagram, Facebook or Google’s own rules.

Content published to your accounts is published as you. You remain responsible for it.

Our software and content

Baila Lento, including its software, screens, designs, text, pictures, workflows and the way it is put together, is owned by SMRIT LABZ PRIVATE LIMITED and protected by copyright and other laws. You may use it to run your own marketing. You may not copy, scrape, crawl, mirror, resell, reverse engineer or build a competing product from it, or use any automated tool or AI system to extract its content, screens or code. Do not remove or hide watermarks or notices. We may block access, record the IP address and details of the attempt, and take legal action against anyone who breaks this section.

Connected accounts

When you connect a social account you confirm you are entitled to post to it. You can disconnect at any time from Integrations; anything queued is cancelled.

The platforms set their own rules and can change or withdraw access at any time. If a platform stops working with us, we will tell you, but we cannot control their decision.

Plans and payment

• Each plan includes a monthly number of requests, shown in the app and reset on the same day each month.
• Unused requests do not roll over.
• Fees are payable in advance and are not refundable for part of a month, except where the law requires otherwise.
• We will give you 30 days’ notice by email before changing prices.
• Businesses in India pay in Indian rupees; 18% GST is added and shown on your invoice.
• Businesses outside India pay in US dollars. No Indian tax is added: we bill you from India as an export of services. You are responsible for any tax, duty or reverse-charge filing your own country requires on services you buy from abroad. Your bank may charge a fee for a foreign-currency payment.
• Payments are taken by Razorpay; we never see or store card or UPI details.
• A discount code takes the stated percentage off the price before any tax, for the payment it is used on. Each code has its own limits (for example, one use per account or a last valid date) and cannot be exchanged for money.

Free trial

• A business can start one 14-day free trial, with up to 12 requests, after adding its business details and a mobile number. One trial is allowed per business and per mobile number.
• The 14 days start when you connect your first account or make your first request. We check your business before anything is posted.
• When the trial ends, work stops until you choose a plan. Nothing is charged automatically.

Availability

We work to keep Baila Lento running but do not promise uninterrupted service. Maintenance, platform outages and third-party failures all happen. We do not guarantee any particular marketing result — no one honestly can.

Ending it

You can cancel at any time and keep access until the end of the period you have paid for. Your data is deleted within 30 days of closing your account; export anything you want first.

We may suspend an account that breaks these terms, does not pay, or puts the service or other customers at risk. Except for serious misuse, we will warn you first.

Limits of our liability

Nothing here excludes liability that cannot lawfully be excluded. Subject to that, our total liability is limited to the fees you paid in the three months before the claim, and we are not liable for lost profits, lost business or indirect losses.

Changes

If we change these terms materially we will email you at least 30 days beforehand. Using the service after that means you accept the new version.

Customers outside India

• You are responsible for following the marketing, advertising, privacy and consumer laws of the places where your posts, messages and ads are seen, including getting any consent your country requires before messaging people (for example CAN-SPAM and TCPA in the United States, CASL in Canada, the Spam Act in Australia). The app warns about some Indian rules only; it does not check foreign ones.
• For the people who contact your business (comments, messages, enquiries, review requests), you decide why their details are used and we process them for you, as your service provider. We do not sell their personal information or use it for anything other than providing Baila Lento to you.
• Pictures the app draws are marked as made with AI, in the picture’s own data. Do not remove that marking.
• Our data is stored in Australia (Sydney) and processed by the providers named in our privacy policy.

Law

These terms are governed by the laws of India, and the courts of Bengaluru, Karnataka have exclusive jurisdiction. If you are a business outside India, you agree to this as well; nothing here takes away a right your own country’s law gives you that cannot be given up by contract.
